What is a corporation?

A business entity made up of individuals, but having its own legal character, a corporation comes into existence when articles of incorporation are filed in your state of choice. Once it’s formed, your corporation will be legally able to negotiate deals, maintain assets, enter into and defend itself against lawsuits, and more. One of the corporation’s defining features is that it personally protects its owner from liability against corporate debts.

Who can form a corporation?

Basically—anyone! There’s no age requirement, and you don’t necessarily have to live in the U.S. let alone be a U.S. citizen. As long as you submit your articles of incorporation and pay the required filing fee, you can form a corporation.

Do I need an attorney to form a corporation?

Not at all! It’s not necessary for you to use a lawyer when you want to form a corporation. You have the option of preparing all the legal documentation and filing it yourself or you may choose to employ a professional legal documentation service such as LegalCPU.

Is a corporation required to have a registered agent?

Yes. Every corporation must designate a registered agent and disclose the agent’s name and office address—no post office boxes—as a matter of public record. Your registered agent is the individual authorized to receive official correspondence on behalf of the corporation. He or she is also the person authorized to be served with a subpoena if your corporation is sued. The registered agent must be either a natural person over eighteen years of age living in the state in which the corporation has been formed or a corporation within the state of formation that provides registered agent services.

Any officer or director of your corporation can act as the registered agent as long as your corporation is in your home state. If you want to maintain a veil of privacy, or prevent against the surprise of being served a subpoena at home in front of your family, using an outside person or company as your registered agent is a good idea.

How do I choose a corporate name?

When choosing a name for your corporation, you may want to select a name that coincides with the goods you make or sell or the services you provide. (If the case of goods, you may want to consider applying for a trademark to keep your name unique in the context of the product you make or sell.) In some instances, a company name is chosen using the last names of its principals. In other cases, the name may have personal meaning for the corporation’s owners but imply little to the general populace. Ideally, your corporate name should represent your corporate identity. These days, you may want to select a name that’s also available as a domain name (.com) so you can set up a website using the same name as your company.

Usually it’s a requirement in the state of formation that the corporation’s name end with "incorporated," "corporation" or their abbreviation (Inc. or Corp.). A name will not be approved if it is thought to be misleading to consumers or falsely implies government affiliation. A name that’s already in use, or very similar to another name being used, will also be rejected unless you submit a letter from the similarly named corporation consenting to your use of the name. In some states, certain terms—like "credit union," "bank", and "trust" —require authentication that the corporation your are naming is actually one of these types of entities.

What is a professional corporation and what do the initials P.A. and P.C. mean?

A professional corporation is a collective of service professionals such as attorneys, engineers, dentists, doctors and others who are required to have a license to render their services. Individual state law, which may be different in each state, determines what constitutes professional services and the formation requirements for a professional corporation. Professional services are generally defined as those services provided by doctors, dentists, optometrists, physical therapists, engineers, attorneys, accountants, financial investment groups, and architects. Types of businesses that qualify as professional corporations are law firms, architectural firms, accounting firms and others. This is by no means an exhaustive list.

When you see the initials P.A. or P.C. after a corporation’s name, it means "professional association" and "professional corporation," respectively. These initials are reserved for corporate entities made up of the aforementioned service professionals—attorneys, lawyers, accountants, etc. You’ll need to know the requirements of the state or states in which you incorporate.
